Terms of Service

These Terms of Service (“Terms”) are a legal agreement between you and Spiral HQ Ltd (“Spiral”, “we”, “us”), a company registered in England and Wales. By creating an account or using our software, you accept these Terms in full.

You must be at least 18 years old and authorised to enter into this agreement on behalf of yourself or the business you represent. Spiral is built for UK-based sole traders, businesses and their advisers.

You are responsible for keeping your login credentials confidential and for all activity that happens under your account. Tell us immediately if you suspect any unauthorised access.

You agree to provide accurate, current information and to keep it up to date — particularly the financial and tax details Spiral relies on to calculate estimates and prepare submissions.

The Solo plan is free. Paid plans (Professional and Practice) are billed in advance on a monthly or annual basis and renew automatically until cancelled. Prices are shown exclusive of VAT unless stated otherwise.

Free trials convert to a paid plan only if you choose to continue; we will remind you before any charge. You may cancel at any time and will retain access until the end of your current billing period. Fees already paid are non-refundable except where required by law.

You agree not to misuse Spiral: no unlawful activity, fraud, money laundering, attempts to breach security, reverse-engineering, or using the service to store or send harmful or infringing content.

We may suspend or terminate accounts that breach this section, and where required we will report unlawful activity to the relevant authorities.

Spiral is recognised by HMRC for Making Tax Digital and helps you prepare and submit VAT returns and Self Assessment. Tax estimates are indicative and depend on the accuracy and completeness of the data you provide.

Spiral is software, not an accountant. You remain legally responsible for your tax affairs and for the accuracy of what you submit to HMRC. We recommend consulting a qualified adviser for anything beyond routine filing.

We work hard to keep Spiral available and secure, and target 99.9% uptime. However, we don’t guarantee uninterrupted access — planned maintenance, third-party outages (such as bank feeds) or events outside our control may affect the service.

To the extent permitted by law, Spiral’s total liability to you in any 12-month period is limited to the fees you paid us in that period. We are not liable for indirect or consequential loss, or for loss of profits, data or goodwill.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under English law.

You may close your account at any time from your settings. We may suspend or end your access if you materially breach these Terms or fail to pay fees due.

Before you leave, you can export your invoices, expenses and records. After closure we retain data only as long as needed to meet legal and tax-record obligations (see our Privacy Policy).

We may update these Terms from time to time. For material changes we will give you reasonable notice by email or in-app. Continuing to use Spiral after changes take effect means you accept the revised Terms.

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from them.
